1. Introduction

This License Agreement ("Agreement") is a legal agreement between you ("Licensee") and Smart Sell Lab ("Company") for the use of digital products ("Assets") provided through Smart Sell Lab’s website ("Website"). By downloading or using the Assets, you agree to be bound by the terms of this Agreement.

2. Types of Assets

  • Free Assets: Assets available without cost.

  • Paid Assets: Premium Assets available for users who purchase from Smart Sell Lab.

3. Grant of License

Smart Sell Lab grants you a non-exclusive, non-transferable, worldwide license to use the Assets, subject to the terms of this Agreement. You are granted Master Resell Rights, meaning you may rebrand, modify, and resell the Assets as your own. You may also use these Assets to build a store, with Smart Sell Lab as your private supplier of digital products. Once you gain access to the Assets, you are free to use, modify, and sell them without limitation.

4. Intellectual Property

All Assets remain the property of Smart Sell Lab. This Agreement does not transfer any intellectual property rights. You acknowledge that all copyright, trademarks, and other intellectual property rights in and to the Assets are owned by Smart Sell Lab.

5. Termination

This Agreement is effective until terminated. Smart Sell Lab may terminate this Agreement at any time if you fail to comply with any term or condition. Upon termination, you must destroy all copies of the Assets.

6. Disclaimer of Warranties

The Assets are provided "as is". Smart Sell Lab makes no warranties, express or implied, and disclaims all warranties, including, without limitation, implied warranties of merchantability and fitness for a particular purpose.

7. Limitation of Liability

In no event shall Smart Sell Lab be liable for any special, incidental, indirect, or consequential damages whatsoever arising out of the use of or inability to use the Assets.

8. General

This Agreement constitutes the entire agreement between you and Smart Sell Lab concerning the use of the Assets. This Agreement shall be governed by the laws of the jurisdiction where Smart Sell Lab resides.

Licensing Summary

You Can:

  • Edit, rebrand, and modify content

  • Add your name, logo, and branding

  • Repurpose into other formats

  • Combine with other materials

  • Sell for 100% profit in non-editable formats

  • Use in courses, memberships, and marketing

You Cannot:

  • Transfer or sell the license itself

  • Share editable source files

  • Publish the full content for free (only small excerpts allowed)

  • Add to free membership sites

  • Use the content for illegal or unethical purposes
